Because the other file is being properly understood as having a 16-235 luminance that is converted to full 0-255. The other one is not and stays at 16-235. The reasons for this can be myriad.

People need to be real careful about this because improper color space conversions can do havoc to ones videos. Just color correcting them back is definitely the wrong way.
