Just a guess, but check that your output settings...

Just a guess, but check that your output settings are of a LOWER bitrate than your source video. Also try changing system settings to MPG2 rather than MP4 just to see if it works then.

found my own answer, Nero Vision convert to MP2...

found my own answer,
Nero Vision convert to MP2 , 3mbps, 640x360. Took 10 mins for 1 hr footage,
Vegas was going to take 2.5 hrs for the same at 1.2mbps.
Dont know why, but Vision is a solution...

1 hr of footage 1440x1080 HDV, rendering a proxy in half size, preview quality,
It flies at first, ( 4times realtime) then task manager shows the ram usage slowly going up...
